1. Agreement to Terms

By accessing or using kiderr.com (the "Site" or "Kiderr"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you do not agree to these Terms, please do not access or use the Site.

2. Description of Service

Kiderr operates a web-based local business directory and marketplace platform that connects parents and event planners ("Users") with independent party vendors, venues, entertainers, and rental providers ("Vendors").

Kiderr does not provide event services, rentals, or venues itself. We do not employ or endorse any Vendors listed on the platform. Any contracts, bookings, agreements, or transactions made between a User and a Vendor are strictly between those parties.

3. Vendor Listings and Accounts

To list or claim a business on Kiderr, you agree to comply with the following rules:

• Accuracy: All listing details, descriptions, operating hours, prices, and service areas must be accurate, up-to-date, and honest.
• Physical Address & Location: Listings must represent a valid physical address or an actual mobile business service area. Fake listings or keyword stuffing are strictly prohibited.
• Ownership Claims: Claiming a pre-existing listing requires you to be an authorized owner or representative of that business. We reserve the right to verify claims and revoke listing access at our discretion.
• Verification Badges: Trust badges (e.g. "Business Verified" or "Background Check Current") are issued based on submission of credentials. Issuance does not constitute an endorsement, and we are not liable for any issues arising from verified listings.

4. Subscriptions and Billing

Certain features, such as message alerts, booking systems, invoice links, or featured placement, require a paid subscription plan (Standard, Pro, or Featured).

• Account-Wide Plans: Subscriptions are account-wide. You can own multiple listings/locations under a single subscription, provided each listing represents a valid physical address.
• Auto-Renewal: Subscription plans are billed on a recurring monthly basis. Your card will be charged automatically on each billing cycle.
• Cancellation: You can cancel your subscription at any time through the billing portal. Cancelled accounts will remain active until the end of the current billing cycle, and no refunds are provided for partial months.

5. Online Bookings and Payments

Kiderr provides integrated client booking, credit card processing, and SMS/email invoice link tools powered by Stripe Connect.

• Transactions: Payments are processed directly through Stripe Connect. Kiderr is not a party to the transactions and is not responsible for transaction processing failures, disputes, chargebacks, or refunds.
• White-Labeling: Payment widgets are white-labeled for Kiderr. No QuickBooks or third-party branding is associated with our checkout forms.
• Compliance: Vendors using Stripe Connect must comply with Stripe's Services Agreement and represent that they are legally authorized to accept credit cards in their jurisdiction.

6. Content and Conduct Guidelines

Users may post reviews, upload photos, and submit inquiries. You agree not to upload content or use the Site to:

• Upload false, misleading, defamatory, threatening, or harassing content.
• Infringe on copyrights, trademarks, or proprietary rights of others.
• Post spam, bulk advertising messages, or malicious code.
• Impersonate any person or business.

We reserve the right to review, edit, or delete any content or listing at any time for any reason.

7. Marketing and Promotional Use of Vendor Content

By creating an account, submitting a business listing, or uploading any content to Kiderr, you grant Kiderr, its affiliates, and its representatives a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, publish, distribute, display, and create promotional materials from your business name, logo, photos, videos, descriptions, reviews, social media handles, and other content you provide or make publicly available in connection with your business.

This license allows Kiderr to promote your business and the Kiderr platform through marketing channels including, but not limited to, our website, social media accounts, digital advertisements, email campaigns, print materials, press releases, promotional videos, and other marketing or advertising initiatives.

You represent and warrant that you own or have all necessary rights and permissions to grant Kiderr these rights, and that Kiderr's use of such content will not infringe upon the rights of any third party.

Kiderr is not obligated to use any submitted content and may edit, resize, crop, or otherwise modify promotional materials for formatting, branding, or marketing purposes, provided that such modifications do not materially misrepresent your business.

This license remains in effect while your business listing is active on Kiderr and for a reasonable period thereafter for archival, historical, or previously published marketing materials.

You acknowledge that Kiderr may feature your business as a "Vendor Spotlight," "Featured Business," or similar promotional campaign without additional notice or compensation, for the purpose of promoting both your business and the Kiderr marketplace.

8. Disclaimer of Warranties

Kiderr is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, regarding the Site, listings, user content, or vendor event services. We do not warrant that vendors will perform their services satisfactorily or that the Site will be error-free or uninterrupted.

9. Limitation of Liability

To the maximum extent permitted by law, Kiderr, its officers, employees, or partners, shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Site or any interactions or agreements you make with third-party vendors or users through the platform.

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted to this page with an updated "Last Updated" date. Your continued use of the Site after terms are modified constitutes your acceptance of the updated Terms.
